Klic Terms of Use

1. Acceptance of Terms

Welcome to Klic ("Klic", "we", "our", or "us").

These Terms of Use ("Terms") govern your access to and use of the Klic mobile application, website, and related services (collectively, the "Services").

By accessing, registering for, or using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

2. Nature of the Service

Klic is a technology platform that helps users scan products, manage a cart, complete supported checkout flows, receive receipts, view purchase history, and interact with participating physical retail stores.

Klic is not the seller, manufacturer, distributor, owner, or supplier of products sold by participating stores.

Any purchase transaction is between the user and the participating store, unless explicitly stated otherwise.

3. Eligibility

The Services may be used by users of different ages.

However:

  • Users must have legal authority to enter into transactions.
  • Minors may use payment or purchase features only with parental or legal guardian permission.
  • Klic may restrict access if it believes the Services are being misused.

4. Account Registration

Users may access Klic through supported methods, including:

  • Google Sign-In
  • Sign in with Apple
  • Guest access
  • Future authentication methods that Klic may support

Users agree to provide accurate information and keep account information updated.

5. Account Security

Users are responsible for:

  • Keeping their account secure
  • Protecting their device
  • Preventing unauthorized access
  • Notifying Klic immediately of suspected account compromise, device theft, or unauthorized activity

6. Personal and Non-Transferable Account

A Klic account is personal and may not be sold, transferred, shared, or used by unauthorized persons.

Klic may suspend or terminate accounts that are shared, misused, or involved in suspicious activity.

7. Purchases and Store Responsibility

Participating stores are responsible for:

  • Product descriptions
  • Product prices
  • Product availability
  • Product quality
  • Product safety
  • Inventory
  • Returns
  • Refunds
  • Exchanges
  • Warranties
  • Consumer protection obligations

Klic provides technology that helps facilitate the shopping and checkout experience, but Klic is not responsible for the store's products, prices, policies, or legal obligations unless required by law.

8. Payment Processing

Klic may support payment through third-party payment providers.

Klic does not currently store full credit card numbers or CVV codes.

Klic may store limited safe display metadata, such as last four digits, card brand, expiration month/year, cardholder name, and a random local card ID.

A transaction should only be considered completed when a real payment provider confirms payment success, or when the app clearly operates in an internal development/demo mode.

Klic may block checkout if payment services are not properly configured.

9. Refunds, Returns, and Cancellations

Refunds, returns, exchanges, cancellations, and warranty claims are handled by the applicable store, unless otherwise required by law.

Klic does not guarantee that a store will approve a refund, return, or exchange request.

10. Receipts and Purchase History

Klic may provide digital receipts and purchase history for convenience.

Users are responsible for verifying transaction details, including product, price, quantity, and store information.

Klic may correct or remove inaccurate records if required.

11. Product Scanning and QR Approval

Klic may use barcode or QR scanning to identify products or support in-store purchase approval.

Approval codes, QR codes, or similar verification methods may expire, may be limited to one use, and may be rejected if suspicious, expired, duplicated, or invalid.

Users may not copy, manipulate, fake, or misuse approval codes.

12. Ratings and User Content

Klic may allow users to submit numeric product ratings.

Users may not submit false, abusive, misleading, unlawful, or fraudulent ratings.

Klic may remove or restrict ratings or future user-generated content at its discretion.

If Klic later allows comments, reviews, images, or other user content, users grant Klic a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, display, reproduce, modify, distribute, and use such content in connection with operating, improving, and promoting the Services.

13. Prohibited Conduct

Users may not:

  • Attempt to complete purchases without valid payment
  • Circumvent checkout systems
  • Fake payment approval
  • Misuse QR codes or approval codes
  • Commit fraud
  • Impersonate another person
  • Access another user's account
  • Use bots or automation tools
  • Reverse engineer the app
  • Attempt to discover source code
  • Attack, scan, or overload Klic systems
  • Introduce malware
  • Abuse guest access
  • Use the Services for illegal activity
  • Interfere with store operations
  • Exploit bugs or vulnerabilities

Klic may report illegal or fraudulent conduct to relevant authorities.

14. Fraud Prevention and Security Monitoring

Klic may monitor account activity, transaction behavior, device-related signals, and security indicators to detect fraud, abuse, unauthorized access, and violations of these Terms.

15. Account Suspension and Device Blocking

Klic may suspend, restrict, terminate, or permanently block:

  • Accounts
  • Devices
  • Phone numbers
  • Payment methods
  • IP addresses
  • Other identifiers

where Klic suspects fraud, abuse, security risk, violation of these Terms, or illegal activity.

16. Third-Party Services

The Services may rely on third-party services, including authentication providers, backend providers, payment providers, operating system services, and store systems.

Klic is not responsible for third-party service failures, policies, actions, or omissions.

17. Service Availability

Klic does not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

The Services may be unavailable due to maintenance, updates, technical issues, third-party failures, security incidents, or events outside Klic's control.

18. Development, Demo, and Test Features

Klic may include internal development, demo, or testing functionality.

Such functionality is not intended for real commercial use unless explicitly enabled for production.

Users may not rely on demo, simulated, or test payment flows as real payment confirmation.

19. Future Features

Klic may add, modify, or remove features, including:

  • Payment providers
  • Loyalty programs
  • Coupons
  • Cashback
  • Store insights
  • Personalized recommendations
  • Smart retail integrations
  • Additional authentication methods
  • Additional device permissions

Future features may be subject to additional terms or updated policies.

20. Intellectual Property

All rights in Klic, including software, design, branding, logos, trademarks, databases, interfaces, features, content, and documentation, belong to Klic or its licensors.

Users receive only a limited, personal, revocable, non-transferable right to use the Services according to these Terms.

No ownership rights are transferred to users.

21. Aggregated Data

Klic may use aggregated, anonymized, or de-identified information generated through the Services for analytics, product improvement, business intelligence, commercial insights, research, benchmarking, and development.

22. Privacy

Use of the Services is also governed by the Klic Privacy Policy.

By using the Services, you acknowledge that Klic may process information as described in the Privacy Policy.

23. Force Majeure

Klic will not be liable for delay, failure, interruption, or inability to provide the Services caused by events beyond its reasonable control, including:

  • Cyberattacks
  • Internet outages
  • Utility failures
  • War
  • Terrorism
  • Civil unrest
  • Natural disasters
  • Government actions
  • Labor disputes
  • Pandemics
  • Third-party failures

24. Disclaimer of Warranties

The Services are provided "as is" and "as available."

To the maximum extent permitted by law, Klic disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, and non-infringement.

25. Limitation of Liability

To the maximum extent permitted by law, Klic will not be liable for:

  • Indirect damages
  • Incidental damages
  • Special damages
  • Consequential damages
  • Lost profits
  • Lost revenue
  • Lost opportunities
  • Loss of data
  • Store-related disputes
  • Product defects
  • Pricing errors by stores
  • Refund or warranty decisions by stores

26. Maximum Liability

To the maximum extent permitted by law, Klic's total liability for any claim relating to the Services will not exceed the total amount paid by the user through Klic during the twelve months before the event giving rise to the claim.

27. Indemnification

Users agree to indemnify and hold Klic, its founders, employees, contractors, partners, affiliates, and service providers harmless from claims, damages, losses, liabilities, costs, and expenses arising from:

  • Misuse of the Services
  • Violation of these Terms
  • Fraudulent activity
  • Illegal conduct
  • Unauthorized access
  • Violation of another person's rights

28. Account Deletion and Termination

Users may request or initiate account deletion.

Klic may retain certain information after deletion where required or permitted by law, including for legal, accounting, fraud-prevention, security, or dispute-resolution purposes.

Klic may also terminate or restrict access to the Services at any time if these Terms are violated.

29. Changes to the Services

Klic may change, suspend, discontinue, or limit any part of the Services at any time.

Klic may also introduce new features, remove existing features, or change how features operate.

30. Changes to These Terms

Klic may update these Terms from time to time.

Updated Terms will be posted in the app, on the website, or through another appropriate method.

Continued use of the Services after changes take effect means you accept the updated Terms.

31. Limitation Period

To the maximum extent permitted by law, any claim relating to the Services must be brought within one year from the date the claim arose.

Claims filed after that period may be permanently barred.

32. Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules.

33. Jurisdiction

Any dispute arising from or relating to the Services will be subject to the exclusive jurisdiction of the competent courts in the Central District of Israel.
